Article 1. Use of API & Services

Use of API and Services

Access to the XWMS API and related partner services is subject to these Partner Terms, your active credentials, and any applicable subscription or commercial arrangement.

Permitted use

Subject to an active account and valid access credentials, XWMS grants you a limited, revocable, non-exclusive, non-transferable right to:

  • access and use the API for your own business operations or authorized projects
  • integrate the API into your systems in accordance with our documentation
  • make reasonable requests within technical and operational limits

Prohibited use

You may not:

  • bypass authentication, rate limits, or security controls
  • reverse engineer protected functionality except where non-waivable law permits it
  • resell or sublicense API access without written approval
  • use the Services for unlawful, deceptive, abusive, or harmful activity
  • overload, disrupt, or interfere with the platform or infrastructure
  • build a competing service by misusing confidential or protected parts of the Services

Credentials and responsibility

You are responsible for your API keys, tokens, and other credentials. Activity performed using your credentials is treated as your responsibility unless the issue was caused by XWMS.

If you suspect unauthorized use or credential exposure, you must notify XWMS without undue delay.

Monitoring and enforcement

We may monitor API and service usage for security, abuse prevention, capacity planning, and enforcement of these terms.

If you violate these terms, we may limit, suspend, or terminate access and take further action where legally justified.

Article 2. Limitations-of-Liability

Limitations of Liability

To the maximum extent permitted by applicable law, XWMS is not liable for indirect, incidental, special, consequential, or punitive damages arising from or related to the partner services, including loss of profit, loss of revenue, loss of business opportunity, or loss of goodwill.

Third-party services

The platform may depend on third-party providers such as payment processors, hosting providers, analytics tools, or authentication providers. XWMS is not responsible for outages or failures caused by those third parties.

Data and system responsibility

You remain responsible for your own systems, backups, configurations, and internal security practices.

Liability cap

If XWMS is found liable, total liability for all claims relating to the partner services will not exceed the amount paid by you to XWMS for the affected services during the 12 months before the event giving rise to the claim.

Nothing in these terms excludes liability that cannot lawfully be excluded.

Article 3. Support-and-Maintenance

Support and Maintenance

XWMS provides support and maintenance for partner services on a reasonable-efforts basis.

Documentation

Partners should first consult the available documentation, setup guides, and technical references provided by XWMS.

Support channels

Support may be provided through:

  • email
  • contact forms
  • dashboard notices or support tools where available

Response times may vary based on urgency, complexity, and subscription context.

Maintenance

We may perform maintenance, upgrades, and security work to keep the platform reliable and secure. Planned maintenance may be announced in advance where reasonably possible.

Article 4. Fees-and-Payment-Terms

Fees and Payment Terms

Certain partner services require a paid subscription.

Payment provider

All partner payments are currently processed through Stripe.

Supported payment methods

Depending on availability and location, supported methods may include:

  • iDEAL
  • Apple Pay
  • Google Pay
  • PayPal
  • Bancontact

Billing cycle

Partner subscriptions are billed monthly.

Depending on the selected payment method or payment flow, billing may be:

  • automatic renewal, where Stripe attempts recurring collection
  • manual renewal, where continued access depends on timely payment

Cancellation notice

A cancellation notice period of 30 days applies. If you cancel, the partner subscription will end in accordance with that notice period and the applicable billing cycle.

Failed or missed payments

If payment is not completed on time, partner access and related services may be suspended until the outstanding amount is resolved.

Refunds

Partner fees are generally non-refundable.

Refunds are considered only in the following limited situations:

  • duplicate payment
  • technical billing error
  • clearly unauthorized payment confirmed after review

No refunds are provided for change of mind, dissatisfaction, non-use, configuration mistakes, or early cancellation.

Article 5. Termination-and-Suspension

Termination and Suspension

XWMS may suspend or terminate partner access where reasonably necessary, including in cases of:

  • non-payment
  • breach of these terms
  • security risks or suspected abuse
  • unlawful use of the platform
  • conduct that threatens the stability or safety of the Services

Effect of suspension

During suspension, partner services may be limited or unavailable, including API access, dashboard access, and related authentication services.

Effect of termination

If the partner relationship ends, access to paid partner functionality may stop at the applicable end date. Data may remain stored until deletion or anonymization is requested, unless earlier deletion is required or justified.

Data removal requests

If you want partner-related personal data removed or anonymized, you may contact XWMS. Legal, accounting, or security records may need to be retained where required.

Article 6. Modifications-and-Updates

Modifications and Updates

XWMS may update the Services, documentation, pricing, or partner terms from time to time.

Notice channels

Material partner updates may be communicated through:

  • email
  • dashboard notifications
  • documentation or release notes where appropriate

Email and dashboard notifications are the primary notice channels for partner-related changes.

Continued use of the partner services after an update takes effect means you accept the updated terms, except where applicable law requires a different process.

Article 7. Compliance-with-Laws

Compliance with Laws

You are responsible for ensuring that your use of XWMS partner services complies with all laws and regulations that apply to your business, your users, and your jurisdiction.

This includes, where relevant:

  • privacy and data protection laws
  • consumer protection laws
  • export or sanctions rules
  • intellectual property laws
  • sector-specific rules that apply to your own activities

You may not use the Services in a way that violates the rights of others or applicable law.

Where legally required, XWMS may cooperate with competent authorities and may disclose information to comply with legal obligations or protect the platform and its users.

Article 8. Dispute-Resolution-and-Governing-Law

Dispute Resolution and Governing Law

These Partner Terms are governed by the laws of the Netherlands.

If a dispute arises, both parties should first attempt to resolve it in good faith through direct contact.

If that is not successful, disputes will be submitted to the competent Dutch court.

Nothing in this section prevents either party from seeking urgent interim relief where that is legally necessary.

Article 9. Final-Provisions

Final Provisions

These Partner Terms form part of the agreement governing your use of the XWMS partner services.

If any provision is found invalid or unenforceable, the remaining provisions remain in effect.

Failure by XWMS to enforce a provision immediately does not mean that provision is waived.

XWMS may update these terms in accordance with the notice process described in these policies.
